Cost to Form LLC in Wyoming: One-Time vs. Yearly Line Items

Short answer

Cost to form LLC in Wyoming, at the state level: $100 for the Articles of Organization, plus a small card fee if you file online. That is the only check the state requires on day one. Most results for "cost to form LLC in Wyoming" stop at that $100. The full bill has three layers: the state filing, a registered agent you keep every year, and, for owners outside the US, IRS paperwork due even when the company earns nothing.

One-time costs to form an LLC in Wyoming

Per the Wyoming Secretary of State fee schedule effective July 1, 2026, filing Articles of Organization for an LLC costs $100.

What the official fee schedule and the WyoBiz filing pages list:

  • Articles of Organization: $100. Filing online through WyoBiz adds a credit card processing fee of 2.4% of the filing fee, with a $1 minimum.
  • Name reservation: optional. The state's form says no reservation is needed if you submit the Articles now.
  • Expedited filing: optional and steep. Next business day is $700; same business day is $1,400.
  • Names starting with "A" go on paper. WyoBiz sends them to manual review, and paper filings can take up to 15 business days.
  • Registered agent from day one. The Articles ask for an agent with a physical Wyoming address (no drop box). They ask for an organizer's signature, not the names of members or managers.

Yearly costs after you form an LLC in Wyoming

The one-time part is cheap. The recurring part catches people.

Annual report. Wyoming calls it a license tax: a flat minimum or two-tenths of one mill on the dollar ($.0002), whichever is greater, based on assets located and employed in Wyoming. A web shop with no Wyoming assets pays the minimum (see the table). The report is due on the first day of your anniversary month: form on May 15, and it's due May 1 each year. You can file up to 120 days early. Miss it by more than 60 days and the state administratively dissolves the company. File it on the WyoBiz annual report page.

Registered agent. You need one for as long as the LLC exists. Price the renewal before you pick a provider.

IRS paperwork for foreign owners. A single-member LLC owned by a non-US person is a "foreign-owned U.S. DE" in IRS language. According to the IRS Form 5472 instructions, it has no income tax return requirement but must file a pro forma Form 1120 with Form 5472 attached, by April 15 for a calendar-year company. It can't be e-filed; it goes by fax or mail. Putting money into the LLC or taking it out counts as a reportable transaction, so "no sales yet" rarely means "nothing to file". The earlier post on this blog, Single Member LLC Taxes: What a Non-US Owner Actually Files (in English), walks through that filing line by line.

Wyoming's own site, wyo.gov, states that the state "does not possess an individual or corporate income tax." Your home country's tax rules still apply, though, so ask a tax professional how your income is treated where you live.

What CORPBOLT plans include

CORPBOLT has three plans: Foundation, Launch and Concierge. CORPBOLT files Wyoming LLCs for founders who live outside the US, and the $100 state filing fee already sits inside every plan.

  • Foundation, $349: the $100 state fee, the first year of registered agent service and a US business address. The EIN is a $199 add-on here.
  • Launch, $599: everything in Foundation, plus the EIN and a bank-ready operating agreement.
  • Concierge, $1,497: the full package, including the Form 5472 and pro forma 1120 filing.

CORPBOLT's Launch plan bundles the EIN and a bank-ready operating agreement at $599, with the $100 state fee already paid. On CORPBOLT's Concierge plan, the Form 5472 and pro forma 1120 filing is part of the package rather than a separate job.

Need an EIN for a bank account or payouts? I'd price Launch first; if you already have one, Foundation is the lighter option. Banks make their own account decisions.

Cost to form LLC in Wyoming: providers side by side

Prices as listed in October 2026; check each provider's site before you buy.

OptionWhat the listing says
CORPBOLTWyoming LLC formation from $349, or $599 with your EIN included. The $100 state filing fee is included on every plan.
Stripe Atlas$500 one-time incl. state fees and 1st-year registered agent, then $100/yr. Delaware only (C-corp or LLC), no Wyoming.
Firstbase (Start)$399 list price; currently an offer where formation is free and you pay only the state fee; registered agent required and billed separately.
doola (Starter)$297/yr plus state fees ($397 in year 1 in Wyoming), renews at $297/yr; Tax & Compliance plan $1,999/yr.
DIY (Wyoming Secretary of State)$100 state fee for the Articles + card fee; $60 minimum annual report paid to the State of Wyoming (not a CORPBOLT fee); you also need a registered agent with a physical Wyoming address.

DIY can be the cheapest route if you line up your own Wyoming agent and handle the IRS side yourself. Freelancers who aren't sure they need a company yet should read five freelancer situations where an LLC does or doesn't make sense from Spring Hill Med Group before paying anyone.

Costs people forget

The line items most fee pages leave out:

  1. Letting the agent lapse. Reinstatement for having no registered agent is $350, per the Secretary of State.
  2. A missed annual report. Reinstating within two years means filing every late report, paying every late fee, plus a $100 reinstatement fee.
  3. Switching agents. Appointing a new registered agent and office is $5.
  4. Paying for a certificate you could get free. A paper Certificate of Good Standing is $20; WyoBiz issues one online at no cost.
  5. The Form 5472 penalty. The IRS penalty for not filing is $25,000, plus another $25,000 for each 30-day period the failure continues more than 90 days after IRS notice. Need more time? Form 7004 extends the deadline, filed by fax or mail.
  6. Home-country advice. An accountant where you live is a real cost, and for most non-US owners a necessary one.

My take: budget for the $100 filing once, then the agent, the annual report and the April 15 IRS filing every year. Compare providers on what they bundle into those four lines.
